General Terms and Conditions (GTC) · Last updated: June 2026
These General Terms and Conditions ("GTC") apply to all contracts, services and offers of Ultsch Consult Pte. Ltd., registered in Singapore, UEN: 202534626E, in the course of its business as a consulting, business development and marketing agency for European hospitality, tourism and hotel-tech companies in Southeast Asia. These GTC apply exclusively to businesses within the meaning of the Austrian Commercial Code (Unternehmensgesetzbuch, UGB) or corresponding provisions under the law of the Republic of Singapore (B2B only).
Ultsch Consult offers services in the areas of market representation, sales & business development, marketing, PR and strategic consulting.
A contract is formed upon written confirmation of an offer or upon signature of a service agreement.
Ultsch Consult performs the contractually agreed services to the best of its knowledge and ability but does not guarantee any specific economic outcome.
The client shall provide all information and documents required for the performance of the services in a timely manner.
The prices agreed in the respective offer or contract apply, plus any applicable taxes.
Invoices are due within 14 days of the invoice date without deduction.
In the event of late payment, Ultsch Consult is entitled to charge default interest at the statutory rate as well as reminder fees.
The minimum contract term is three (3) months, unless otherwise agreed.
The contract may be terminated by either party with six (6) months' notice to the end of a month. The right to termination for good cause without notice remains unaffected.
All content, concepts and materials created by Ultsch Consult remain the property of Ultsch Consult until payment has been made in full.
Both parties undertake to maintain confidentiality regarding all information obtained in the course of the cooperation.
Ultsch Consult is liable only for intent and gross negligence. In the case of simple negligence, Ultsch Consult is liable only for breach of material contractual obligations (cardinal obligations), and liability is limited to the foreseeable damage typical for this type of contract.
Liability for indirect damages, loss of profit or failure to achieve an expected economic outcome is excluded.
At the client's election, either the law of the Republic of Austria or the law of the Republic of Singapore applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
At the client's election, the place of jurisdiction is either Vienna (Austria) or Singapore. Ultsch Consult is, however, entitled to bring legal action against the client at the client's registered seat.
Amendments and additions to these GTC require written form.
Should any provision of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a legally permissible provision that most closely reflects the economic purpose intended.
